Vendor Agreement.
This Vendor Agreement (the "Agreement") governs participation as a vendor at any festival or event organized by Salient Media LLC dba Suhoor Festival ("Suhoor Festival," "we," "us," or "our"), including via the Suhoor Festival mobile app. Submitting a vendor application constitutes acceptance of this Agreement in full.
1. Acceptance
Submitting a vendor application constitutes acceptance of this Agreement in full. Vendors agree to be bound by this Agreement, the Returns and Refunds Policy, the Privacy Policy, and the Terms of Service.
2. Booth Fee and Refunds
Booth fees are non-refundable per the Returns and Refunds Policy. The booth fee amount is determined at the discretion of Suhoor Festival and communicated to the vendor upon approval.
3. Operational Requirements
Vendors agree to:
- Arrive at the festival venue at least 3 hours before doors open.
- Remain present and operational for the entirety of both festival days.
- Not leave the festival before the event officially ends.
- Display only at the booth location assigned by Suhoor Festival. No relocations without written approval.
- Clean up their own booth area at the end of each day.
- Not play music at the booth. Audio playback is reserved for the festival's curated audio program.
4. Halal Compliance
All food and consumable products sold or served at the booth must be halal. Vendors are responsible for their own halal certification and must provide certification documentation upon request.
5. Food Safety and Permits
Vendors are responsible for compliance with all applicable food safety regulations, including but not limited to those of the Georgia Department of Public Health and Gwinnett County. Vendors are responsible for maintaining current food handler permits and obtaining any required temporary food service permits.
6. Insurance
Vendors are encouraged but not required to carry general liability insurance. Suhoor Festival is not responsible for any loss, damage, or injury at vendor booths.
7. Stripe Connect and Payment Processing
Vendors accepting in-app orders through the Suhoor Festival app must complete Stripe Connect Express onboarding. By doing so, vendors agree to Stripe's Connected Account Agreement and accept the platform fee (currently 5%) on each customer transaction processed through the app.
8. Tax Reporting
Vendors are responsible for their own tax reporting on all revenue earned at the festival or through the Suhoor Festival app. Suhoor Festival does not issue 1099-K forms.
9. Prohibited Conduct
Vendors agree not to:
- Sell non-halal items.
- Play music at the booth.
- Leave the festival before the event ends or fail to attend the entirety of both days.
- Sublease or transfer booth assignment to another business.
- Sell on behalf of another vendor without prior written approval.
- Engage in fraudulent activity, including chargebacks for legitimate transactions.
- Disparage the festival, its organizers, or other vendors publicly during or after the event.
10. Media Rights
Vendors grant Suhoor Festival irrevocable, royalty-free rights to photograph, video, and otherwise document the vendor's booth, food, branding, and staff for promotional purposes, in any medium, in perpetuity.
11. Revocation of Vendor Status
Revocation does not entitle vendor to a refund.
Suhoor Festival reserves the right to revoke vendor status for any violation of this Agreement, the Returns and Refunds Policy, the Terms of Service, or for any other reason at our sole discretion.
12. Indemnification
Vendor agrees to indemnify and hold harmless Salient Media LLC dba Suhoor Festival from any claims, damages, or losses arising from vendor's operations at the festival.
13. Governing Law
This Agreement is governed by the laws of the State of Georgia. Disputes are resolved exclusively in state or federal courts located in Gwinnett County, Georgia.
